Agreement to Our Legal Terms

We are Kshetra, doing business as ScanDine (“Company,” “we,” “us,” or “our”), a company registered in Australia at Unit 802, 241 Oxford St, Bondi Junction, New South Wales 2022. Our ABN is 81 621 624 774.

We operate the website https://scandine.app (the “Site”), the mobile application ScanDine (the “App”), as well as any other related products and services that refer or link to these legal terms (collectively, the “Services”).

ScanDine is a QR-based ordering and restaurant management platform that enables restaurants and food trucks to create digital menus, accept customer orders via QR code, and manage their operations in real time — with no app installation required for customers.

These Legal Terms constitute a legally binding agreement between you and Kshetra. By accessing the Services, you confirm you have read, understood, and agreed to be bound by these Legal Terms. If you do not agree, you must discontinue use immediately.

The Services are intended for users who are at least 18 years old. Persons under 18 are not permitted to use or register for the Services.

1. Our Services

The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction where such distribution or use would be contrary to law or regulation. The Services are not tailored to comply with industry-specific regulations such as HIPAA or FISMA.

2. Intellectual Property Rights

We own or are licensed to use all intellectual property rights in our Services, including source code, databases, functionality, software, website designs, text, photographs, and graphics, as well as our trademarks and logos.

Subject to your compliance with these Legal Terms, we grant you a non-exclusive, non-transferable, revocable licence to access the Services for your internal business purpose only.

3. User Representations

By using the Services, you represent and warrant that: (1) all registration information you submit is true, accurate, and complete; (2) you will maintain the accuracy of such information; (3) you have the legal capacity to agree to these Legal Terms; (4) you are not a minor in the jurisdiction in which you reside; (5) you will not access the Services through automated or non-human means; and (6) your use of the Services will not violate any applicable law or regulation.

4. User Registration

You may be required to register to use the Services. You agree to keep your password confidential and are responsible for all use of your account. We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable.

5. Purchases and Payment

We accept the following forms of payment: Visa, Mastercard, and American Express, processed securely by Stripe. All prices are in USD unless otherwise stated. You agree to provide current, complete, and accurate purchase and account information for all transactions.

6. Subscriptions

The Services may be billed on a monthly subscription basis (“Subscription Period”). Your subscription will automatically renew at the end of each Subscription Period unless you cancel it via the billing portal accessible from your account dashboard.

We reserve the right to change subscription fees at any time. Any price changes will be communicated via email to your registered address with at least 30 days' notice.

7. Cancellation and Refunds

You may cancel your subscription at any time by logging into your account and using the Billing Portal, or by contacting us at support@scandine.app. Your cancellation will take effect at the end of the current paid period.

Refunds may be requested within 7 days of purchase by contacting support@scandine.app. We will review each request on a case-by-case basis.

8. Prohibited Activities

You may not access or use the Services for any purpose other than that for which we make the Services available. Prohibited activities include but are not limited to:

  • Submitting false, fraudulent, or misleading menu information or orders
  • Impersonating another restaurant or business on the platform
  • Systematically retrieving data or content to compile a database without permission
  • Circumventing or disabling any security features of the Services
  • Using the Services in any manner that could damage or overburden our infrastructure
  • Using the Services to advertise or offer to sell goods and services outside the scope of normal platform use

9. User Generated Contributions

The Services may allow you to upload content such as menu items, photos, logos, and banners. By uploading content, you confirm that you own or have the necessary rights to that content, and you grant us a licence to use it to provide the Services. We reserve the right to remove any content that violates these Legal Terms.

10. Third-Party Websites and Content

The Services may contain links to third-party websites (including Stripe for payment processing). Such links are not an endorsement and we are not responsible for the content, privacy policies, or practices of any third-party websites.

11. Privacy Policy

We care about data privacy and security. Please review our Privacy Policy. By using the Services, you agree to be bound by our Privacy Policy. The Services are hosted in Australia, Singapore, and the United States.

12. Term and Termination

These Legal Terms remain in effect while you use the Services. We reserve the right to deny access, terminate accounts, or block IP addresses at our sole discretion for breach of these Legal Terms or any applicable law. If your account is terminated, you may not re-register without our permission.

13. Governing Law

These Legal Terms shall be governed by the laws of Australia. Kshetra and you irrevocably consent that the courts of Australia shall have exclusive jurisdiction to resolve any dispute arising in connection with these Legal Terms.

14. Dispute Resolution

Informal Negotiations: The parties agree to first attempt to resolve any dispute informally for at least 30 days before initiating arbitration.

Binding Arbitration: If informal negotiation fails, disputes shall be resolved by arbitration under the UNCITRAL rules, with one arbitrator, seated in Sydney, Australia, conducted in English, governed by Australian substantive law.

15. Disclaimer

The Services are provided on an as-is and as-available basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

16. Limitations of Liability

Our liability to you for any cause whatsoever will at all times be limited to the amount paid by you to us during the six (6) month period prior to any cause of action arising.
